D90 front discs and transmissions sound, A/C

Just been out looking at a 1994 D90. Car has been maintained at dealer, has a new transmission and clutch since September of 1997, but it still makes gear noise (like an old American in reverse) in 3rd, 4th and 5th. Any advice on problem areas?

Car has high mileage and been driven by a young kid with too much money. Seems like he has left it up to the dealer to do all maintenance and has not even done the basics himselfs such as keeping the car clean. Front discs are pretty worn out. How much are a new set, assume to do the job myself?
This truck also has an A/C installed. Is it normal that the serpentine belt has to be replaced with several V-belts for this? Why not the same layout as in Discovery?

Will make a low offer tomorrow, but I'd say it takes another $5K to get this truck in shape.
